Licence agreement
This agreement covers Soompler and Stooms by Audio Noodle (“we”), including trials and updates (the “Software”). By installing or using the Software, you agree to it.
Who sells the Software
Purchases are made through Moonbase, our authorised reseller and merchant of record. Moonbase takes payment, handles VAT and sales tax, and delivers your licence. Your purchase is covered by Moonbase’s terms for buyers (opens in a new window). This agreement covers how you may use the Software itself.
Your licence
- We grant you a personal, non-exclusive, non-transferable licence to use the Software you bought or are trialling.
- Each licence can be active on two computers at the same time. You can deactivate a computer in your account to free a seat.
- The licence is perpetual for the version you buy, and includes free updates within the same major version (for example, every 1.x update).
- You may not resell, rent, share or sublicense the Software, or remove its licence checks.
- Want to pass your licence on to someone else? Email us and we’ll transfer it once; the original owner’s computers are deactivated.
Activation
- Online activation links a computer to your licence. The Software checks the licence in the background and keeps working offline for up to 30 days between successful checks.
- Offline activation uses a request file from the Software and a signed licence file from your account. Offline activations can’t be deactivated remotely, so they use a seat until you email us and we free it.
- Activation exchanges your licence and a device identifier with Moonbase. Your audio and projects are never sent.
Free trial
Each Software offers a 14-day trial with every feature, started from inside the plugin. When a trial ends, playback and exports stop until you activate a licence. Your projects stay editable, savable and reloadable, including sources, pads and takes. One trial per product per computer; we may refuse trials that are being misused.
What you make is yours
We claim no rights in the music, samples, stems, MIDI or audio you create or process with the Software. You are responsible for having the rights to any audio you load into it, including material you separate into stems.
Refunds
Refunds are handled through Moonbase. Under Moonbase’s buyer terms, the EU 14-day right of withdrawal ends once delivery of the digital product begins, if you agreed to that at checkout. Please use the free trial to check the Software works on your system before buying. If it doesn’t work on your Mac as described, email us within 14 days of purchase and we’ll fix it or refund you.
Third-party components
The Software includes open-source components, including the ARA SDK, Signalsmith Stretch, ONNX Runtime, the Demucs separation model and the Moonbase SDK. Their licences and notices are installed with the Software and take precedence for those components.
Warranty and liability
We work hard to make the Software reliable, and we’ll help if something goes wrong. To the extent the law allows, the Software is provided “as is”, without warranties beyond those you have by law, and our total liability is limited to what you paid for it. Nothing here limits rights you have as a consumer that can’t be excluded.
Ending this agreement
This agreement lasts while you use the Software. It ends if you break it; you must then stop using and uninstall the Software. If we discontinue a product, existing licences keep working for the version you own.
